Terms of Service

These Terms of Service (the "Terms") constitute the agreement between the operator of Surgebell ("Surgebell", "we", "us") and the subscriber ("you") and govern access to and use of the website surgebell.com, the member area app.surgebell.com and the alerts delivered through them (together, the "Service"). Creating an account, subscribing to or using the Service constitutes acceptance of these Terms without reservation. Any person who does not accept these Terms must refrain from using the Service.
The Service is supplied to professionals only. It is intended for legal entities and self-employed individuals, including auto-entrepreneurs, subscribing for purposes falling within the scope of their professional activity. It is not offered to consumers. All prices are stated exclusive of value added tax. By subscribing, you represent that you act for professional purposes.
1. Definitions
- "Account": the individual access to the member area created upon registration.
- "Alert": a notification relating to a public post on X, together with its score and associated context.
- "Niche": the thematic area selected by you and monitored by the Service.
- "Subscription": the recurring paid plan granting access to the Alerts.
- "Professional": a legal entity, or a natural person acting for purposes falling within the scope of their professional activity, including auto-entrepreneurs.
2. Purpose and description of the Service
The Service monitors public posts published on X (formerly Twitter) within the Niche selected by you, scores them by means of indicators developed by us, and transmits Alerts where a post appears to be gaining traction. Alerts are delivered by Telegram, by email or through any other channel that may be offered. You determine whether and how to reply, and you author your own replies.
Scores and time windows are indicative. They constitute estimates derived from public data and do not amount to statements of fact, forecasts or advice of any kind.
Surgebell is an independent product. It is neither affiliated with, nor endorsed or sponsored by, X Corp.
3. Professional customers only
In accordance with the statement above, the Service is supplied exclusively to Professionals. By subscribing, you represent that you act for purposes falling within the scope of your professional activity. You may communicate your business registration number (such as a SIREN) or your intra-Community VAT number, and we may request it, in particular where the VAT reverse charge applies. We reserve the right to refuse or to terminate a Subscription where that representation proves inaccurate.
4. Capacity and Account
You must be at least eighteen years of age and have the legal capacity to enter into this agreement. You undertake to provide accurate information (email address, X handle and, where applicable, Telegram handle) and to keep it up to date.
By communicating your X handle, you authorise us to consult and process the information published publicly on the account concerned, for the purposes of supplying and personalising the Service, under the conditions set out in the Privacy Policy. That authorisation covers public information only and does not confer any access to your X account.
The Account is personal. You are responsible for the confidentiality of your credentials and for all operations carried out through your Account. Any use of the Account without your authorisation must be notified to contact@surgebell.com without delay.
We reserve the right to refuse to open an Account, or to close an Account, in the event of a breach of these Terms or where required by law.
5. Early access
The Service is supplied in early access. Its features, scoring, Niches, delivery channels and the number of Alerts transmitted may change. No reduction affecting the essential benefit of a Subscription already paid for shall take effect during the current billing period without you being given the option to terminate.
6. Subscription, price and payment
The Service is supplied by way of a monthly Subscription payable in advance. The applicable prices are those displayed on the pricing page on the date of the order and are stated exclusive of value added tax. Any applicable tax is added at checkout where required, or the reverse charge applies where the conditions for it are met. You are responsible for the accuracy of the tax information you provide.
Payment is processed by Stripe. Full payment card details are neither received nor stored by us. By subscribing, you authorise recurring charges to your payment method until termination of the Subscription.
The Subscription renews automatically for successive monthly periods. The price applicable to a Subscription remains in force for as long as it continues without interruption, subject to prior notice of any change; the new price applies from the following billing period, and the Subscription may be terminated before it takes effect.
In the event of a failed payment, we may re-present it and suspend access to the Alerts until payment is received. Receipts and invoices are sent by email.
7. Absence of a right of withdrawal
The Service being supplied to Professionals, the statutory right of withdrawal applicable to distance contracts does not apply, save in the limited cases in which the law extends it to professionals. Termination may be effected at any time in accordance with Article 8.
8. Termination by you and refunds
The Subscription may be terminated at any time from the Account or by written request to contact@surgebell.com. Termination takes effect at the end of the current billing period, access being maintained until that date.
Save where the Service is discontinued in the circumstances set out in Article 13, sums already paid in respect of the current period are not refunded.
9. Acceptable use
You undertake not to:
- use the Service for the purposes of spam, harassment, impersonation or deception;
- automate replies, or use the Alerts in any manner contravening the rules of X or of any delivery platform;
- resell, share, redistribute or publish the Alerts, the scores or any component of the Service;
- share the Account or use a single Subscription for the benefit of several persons;
- extract data from the Service, reverse engineer the scoring, or circumvent rate limits or security measures;
- use the Service for any unlawful purpose or in breach of third-party rights.
Any breach of this Article may give rise to suspension or termination of the Account without refund.
10. Use of X and replies published there
Use of the Service presupposes that you hold an X account and that you comply with the terms governing it. By using the Service, you acknowledge that you have read and accepted the X Terms of Service, the X Rules and the X Privacy Policy, as amended from time to time, and you undertake to comply with them at all times when acting on the basis of an Alert.
You remain solely responsible for the content you publish on X, for compliance with the rules of X and with applicable law, and for the consequences of your activity on that platform, including any ranking, restriction or suspension decided by X.
11. Third-party services
The Service relies on third parties, in particular X and its data providers, Telegram, email providers and Stripe. Those third parties are beyond our control. Their unavailability, rate limits, changes of policy or changes of pricing may delay, degrade or interrupt the Service and may require modifications to it. Use of those third-party services is governed by their own terms.
12. Intellectual property
The Service, including its software, scoring, name, logo, design and content, is protected by intellectual property law and is owned by us or by our licensors. You are granted a personal, non-exclusive, non-transferable and revocable licence to use the Service for its intended purpose for the term of the Subscription. No other right is granted.
Posts reproduced within the Alerts remain the property of their authors and are displayed as public information originating from X.
Suggestions and feedback transmitted to us may be used freely, without compensation or obligation of any kind.
Where you publish a post on X referring to Surgebell, or provide us with a testimonial, you grant us a non-exclusive, worldwide and royalty-free licence to reproduce and display that post or testimonial, together with the handle, name and profile picture associated with it, on our websites and in our promotional materials. That licence may be withdrawn at any time by written request to contact@surgebell.com, the content concerned being removed within a reasonable period.
13. Availability, maintenance and changes to the Service
We pursue continuity of service but give no undertaking of uninterrupted or error-free availability, and no service level commitment. We may carry out maintenance operations and may modify, suspend or discontinue the Service or any part of it.
In the event of permanent discontinuation of the Service, the unused portion of the current billing period is refunded.
14. Absence of any undertaking as to results
The Service supplies signals, not results. No undertaking is given that a post will reach a given audience, that a reply will achieve any particular ranking, that followers or revenue will be gained, or that Alerts will be delivered within any given time. The ranking applied by X, its rate limits, third-party data providers and delivery platforms lie outside our control.
15. Warranties
To the fullest extent permitted by law, the Service is supplied on an "as is" and "as available" basis, without warranty of merchantability, fitness for a particular purpose, accuracy or availability.
Nothing in these Terms restricts the warranties which may not be excluded between professionals under French law.
16. Limitation of liability
To the extent permitted by law, our aggregate liability in respect of all claims arising out of or in connection with the Service is limited to the sums paid by you during the three months preceding the event giving rise to the claim.
We incur no liability for indirect or unforeseeable damage, including loss of profit, loss of followers, loss of opportunity or loss of data which you were in a position to preserve.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for wilful misconduct or gross negligence, or any liability which may not be excluded under French law.
17. Your liability
Where your use of the Service in breach of these Terms or of applicable law gives rise to a third-party claim against us, you undertake to cooperate with us and, to the extent permitted by law, to bear the resulting costs and damages.
18. Suspension and termination by us
We may suspend or terminate access to the Service, subject to prior notice except where the breach or the law requires immediate action, in the event of a breach of these Terms, of a failed payment, or where required by law.
Upon termination, access to the Alerts and to the member area ceases. Personal data is retained or erased in accordance with the Privacy Policy. Articles 10, 12, 14, 15, 16, 17 and 21 survive termination.
19. Force majeure
Neither party incurs liability for a failure to perform caused by an event beyond its reasonable control, including failures of networks or hosting infrastructure, cyberattacks, or acts of public authorities.
20. Amendment of the Terms
These Terms may be amended. Material amendments are notified by email before they take effect. Continued use of the Service after that date constitutes acceptance of the amended Terms. Failing acceptance, the Subscription may be terminated.
21. Personal data
Personal data is processed in accordance with the Privacy Policy, which forms an integral part of this agreement.
22. General provisions
These Terms, together with the Privacy Policy and the order confirmation, constitute the entire agreement between the parties in respect of the Service. Should any provision be held invalid, the remaining provisions remain in force. Failure to enforce a provision does not constitute a waiver of it. We may assign these Terms in connection with a reorganisation or a transfer of our business, without diminution of your rights; you may not assign them without our prior consent. Notices are sent to the email address associated with the Account.
23. Governing law and jurisdiction
These Terms are governed by French law.
Prior to any legal proceedings, the parties shall communicate in writing at contact@surgebell.com with a view to reaching an amicable resolution.
Failing agreement, any dispute relating to these Terms, including their validity, interpretation, performance or termination, falls within the exclusive jurisdiction of the courts of Paris, France, including in the event of multiple defendants or third-party proceedings.
